2010

In March 2010, a meeting of the Company’s Board of Directors has an approval for entering into a share sale agreement of Thai Industrial Water Co., Ltd. (TIW) which is held 70% or 539,000 shares by the Company to Siam Water Resource Company Limited. The Company has already transferred common shares and received payment with value of Baht 55 million (net of related expenses). Thai Industry Water Company limited therefore has not been a subsidiary of the Company since 30 April 2010

the Company signed turnkey and sale agreement of procurement and installation for Multi-Service Access Network, WDM and maintenances with TOT Plc. in total 3 contracts with amount of Baht 1,900 million

In September 2010, the Company paid interim dividend to shareholders for the operation of first half year of 2010 at Baht 0.12 per share, a total of Baht 115.2 million.

The Company has expanded business investment to Philippine by establishing Mindmap Commtech Inc. with registered capital of 150 million Peso (150,000 ordinary shares with a par value 1,000 Peso each). Its core business is to provide online top up service and topping up mobile service. The Company holds 40% of its registered capital.

Achieving outstanding 5th IT princes Award 2010 for outstanding Innovation Recognition from Multi-Service Access Network (MSAN) from Foundation for Research in Information Technology (FRIT).

The Company won best prize of telecom innovation award by Telecommunications Research and Industrial for Development Institute (TRIDI) from “FORTH X-TRANS WDM Access Switch”. This new innovation combines carrier Ethernet access, aggregation and switching capabilities with WDM for end-to-end service delivery and simplified network management. Moreover the Company also received 2 awards winning from Thailand Embedded Product Award in categories of Living and life style , 1st prize on “Nurse call system” was internal communication inside the healthcare industry for direct communicating between patients and nurses at any times. The second awards in the categories of Productivity and tool – best innovation award on “ Forth Android development board tablet” was designed for developing android operating system on evolution board with limited budget.

Genius Traffic System Company Limited signed 2 contracts for installation of CCTV with Bangkok Metropolitan Administration with value of Baht 333 million.

Forth Smart Service raised the registered capital from Baht 5 million Baht, consisting of 50,000 ordinary shares with a par value Baht 100 each, to Baht 15 million Baht, consisting of 150,000 ordinary shares with a par value of Baht 100 each, by issuing 10,000 ordinary shares with a par value Baht 100 each.

2008

GTS the subsidiary increased the registered capital from 10 million Baht to be 50 million Baht which the company implemented the right to purchase mentioned additional shares to maintain its shareholding.

the extraordinary shareholders' meeting had resolution to decrease the number of registered capital which did not still offer amounting 35 million shares at Baht 1 of par value. Also, the meeting had resolution to decrease the par value from 1 Baht to be 0.5 Baht which effected to increase the registered and issued capital from 480 million shares to be 960 million shares.

the company cooperated with Mrs. Suthin Niyomsilp to establish Thai Water Industrial Company Limited ("TIW") with 1 million Baht of registered shares. The company began to hold 40% shareholding to operate pipeline installation services from water natural source to delivery to vendors some raw water underlying water source development. TIW also laid out pipeline system to deliver raw water to industrial estate, industrial plants and Provincial Waterworks Authority. In December, the company purchased additional shares from previous shareholders amounting 3,000 shares which the company held more 70% of total registered capital.

the company coordinated with Mr. Siwaphan Rattanawirojwong and Mr. Anuphan Pakdeesuparit to establish Forth Smart Service Company Limited ("FSS") with Baht 1 million of registered capital. The company held 51% shareholding of registered capital in order to operate mobile automatic TOP-UP services which the company manufactured the vending machine and provided services to dealers both management and revenue collection. Moreover, the business has more potential to extent to other services such as BTS TOP-UP services.

The company closed the joint venture of Genius Traffic and Services Intercall after the completion and delivery of traffic light impairment and installation in Trang Municipality.

2007

GEM increased registered capital amounting Baht 40 million which the company purchased additional capital amounting 675,000 shares at Baht 10 of par value (6,750,000 Baht). The company still maintained 45% shareholding.

2006

In April, the ordinary shareholders' meeting had the resolution to decrease the initial public offering (IPO) from 128.9 million shares to be 93.9 million shares. For residual shares, The company had no policy to increase paid-up capital.

In September, the company was authorized to offer the registered securities in order to trade in Stock Exchange of Thailand.

In December, the company had registered capital amounting Baht 515 million. There are common share amounting 515 million shares which is issued and paid-up common shares amounting Baht 480 million or 480 million common shares.

2005

GTS was granted The Board of Investment of Thailand (BOI) for Prototype Design on electronics product designs.

The company accepted agreement with GTS to establish the Joint Venture of Genius (JV Genius) which set up proportion of 20: 80 in cost and profit. According to JV Genius was authorized from Bangkok Metropolis Administration (BMA) to install genius traffic sign broads numbering 40 stations including maintenance contract and networking control system center. Moreover, the company operated to collect advertising fare at every station due to the concession of genius traffic sign broad installation.

GEM increased registered capital amounting Baht 25 million which the company purchased 924,999 shares from previous shareholders (Baht 10 of par value) or amounting 9,249,990 Baht. The company held 45% of total shares which aimed at working capital due to company extension. The company made capital rising because the electronic system of electric meter of GEM was passed the test of product standard of IEC 62053-21 and IEC 62052-11 from Parkside Laboratory Institute in New Zealand.

The company cooperated with Mr. Montri Wanna, Mr. Saravut Pienpitak, Mr. Nuttawut Thephasadin Na Ayuthaya and Mr. Chanrueng Lueanimitmas to establish Forth Tracking System Company Limited ("FTS") with Baht 10 million of registered capital. Forth held 34% shares of FTS which Mr. Montri Wanna, Mr. Saravut Pienpitak, Mr. Nuttawut Thephasadin Na Ayuthaya and Mr. Chanrueng Lueanimitmas totally held 66% share of FTS in order to operate the research and development including distribution of "Vehicle Tracking System ".

The company moved the head office to 226/12,13 and 16 Phaholyothin Road, Samsen Nai, Phayathai, Bangkok as well as the company asked the authorization to be listed company in Stock Exchange of Thailand. The company then transformed to be public company limited and renamed to be "Forth Corporation Public Company Limited" which decreased the value of share from 100 Baht per share to be 1 Baht per share.

The company increased the registered capital from 386.1 million Baht to be 515 million Baht by issuing common share amounting 128.9 million shares at 1 Baht of par value which offered to public at the same and other periods.

2004

The company cooperated with management and shareholders to establish Genius Electronic Meter Company Limited ("GEM") of Baht 5 million of registered capital in order to operate the manufacturing of the electronic system for electric meter. FORTH held 40% shares of GEM.

GEM was granted the privilege of Board of Investment of Thailand (BOI) for Prototype Design of electronic products designs.

In September, FORTH increased registered capital amounting Baht 386.1 million by issuing 561,000 common shares at Baht 100 of par value which paid value for 679 common shares at Baht 100 of par value. The remain of incremental common shares was paid with tender offer by share swap from ES and GTS following accounting valuation method at 31 December 2003 which deducted the dividend of previous shareholders due to operation result of 2003. The company paid dividend by share swap in 2004 as follows:

• The incremental common shares amounting 549,748 shares swapped with ES previous shareholders amounting 499,994 shares (1.099:1).
• The incremental common shares amounting 10,563 shares swapped with GTS previous shareholders amounting 9,994 shares (1.057:1).
  
  Therefore, the company held 100% shares of GTS and ES

2003

Genius Traffic System Company Limited ("GTS") was authorized from Thai Industrial Standards Institute to register the count down machines typed Light Emitting Diodes ("LED") for traffic light, LED traffic light lamp and traffic light control cabinet.

2002

In November, the company was standardized ISO 9001: 2000 from SGS (Thailand) Limited System Services Certification in aspect of quality management of Print Circuit Board Assembly: PCBA and research development of Private Automatic Brach Exchange (PABX) including Inverter Charger and electronic equipment. Moreover, the company was granted the privilege of import tax by the Board of Investment of Thailand (BOI) to import raw material due to the manufacturing of PCBA, PABX, phone equipment, electric appliance and parts, electronics products and electronics finished goods.

2001

The company moved manufacturing plant to new location at Budhamonthon 5 Road in Nakornpathom province.

2000

The company increased registered capital amounting Baht 330 million which was 3.3 million common shares (Baht 100 of par value) in order to purchase land size 8,000 square metres (5 Rai). The land is located next to land which was purchased in 1997 which was purposed to build factory and buy new machine to support manufacturing extension.

1999

The company increased registered capital amounting Baht 180 million which was 1.8 million common shares (Baht 100 of par value) in order to purchase machines due to Japanese manufacturing movement in Thailand.

1998

The company increased registered capital amounting Baht 150 million which was 1.5 million common shares (Baht 100 of par value). The company purposed to purchase land size 8,000 square metres (5 Rai) which is located 77, Moo 11, Budhamonthon 5 Road to establish new plant including machine investment due to manufacturing extension.

1997

The company increased registered capital amounting Baht 20 million which was 200,000 common shares (Baht 100 of par value). The company purposed to enhance the capacities of manufacturing by purchasing more machines.

1996

The company invested to purchase lands and factory in order to extent manufacturing base which supported the growth of electronic circuit assembling and electronics appliance business. The manufacture (Factory Land) is located on Budhamonthon 5 Road in Nakornpathom province.

1995

Amatanon group established Genius Communication System Company Limited to operate and distribute private branch exchange (PBX) under trademark of "FORTH". The head office and production plant were located on 280,282,284 Phaholyothin Road, Samsen Nai, Phayathai, Bangkok.

1993

Amatanon group and Mr. Poonsak Siripongpreeda started to establish Electronic Source Company Limited ("ES") which is the first business of the company (FORTH) in order to operate business of electronics parts distribution.
